Vyro Referral Program Terms

Effective Date: September 5, 2026

By participating in the Vyro Referral Program (“Program”) owned or controlled by Beast GCP, LLC (“Vyro”), you agree to the following terms and conditions (the “Referral Terms”). These Referral Terms supplement the Vyro Terms of Service and Creator Terms and Conditions (collectively, the “Platform Terms”). If any portion of these Referral Terms conflicts with the Platform Terms, these Referral Terms shall control, solely as necessary to resolve the conflict and solely in connection with this Program. Capitalized terms used but not defined here have the meanings given in the Platform Terms. By participating, you acknowledge that you have read and agree to be bound by these Referral Terms and the decisions of Vyro, which are final and binding, and that you satisfy all eligibility requirements. You acknowledge and agree that Vyro may, at any time and in its sole discretion, without prior notice, terminate, suspend, or modify the Program or these Referral Terms. Your continued participation in the Program following any update or modification to these Referral Terms constitutes your acceptance of the Referral Terms as updated or revised.

1. Eligibility. To participate in the Program, you must:

Have an active individual Vyro creator account in good standing (“Valid Account”).

1. Business accounts, organizational accounts, agency accounts, and any other non-individual account types are not eligible to participate in the Program.

Not be an employee, contractor, or otherwise be employed by Vyro, Beast GCP, LLC, or any of their respective parents, affiliates, or subsidiaries.

Both your account and the account of any Referred Creator (defined below) must remain in good standing and eligible for the Vyro platform through the date on which applicable Rewards are paid.

1. How the Program Works.

1. If you are eligible for the Program, you will receive a unique referral link through the Vyro platform. When a new Creator signs up for Vyro through your unique referral link (each, a “Referred Creator”), such Referred Creator is automatically connected to you as the referrer.
2. To qualify as a valid referral (a “Qualifying Referral”), the Referred Creator must: (a) be genuinely new to Vyro with no prior account, including through any different account name; (b) sign up using your unique referral link; and (c) remain active and compliant through at least the date on which applicable Rewards are paid. Vyro reserves the right to waive eligibility and other Program requirements in its sole discretion

1. Program Changes and Termination.

Vyro may modify, suspend, or discontinue the Program at any time, including changes to the Reward rate, per-referral cap, earning duration, or any other Program terms. Changes apply to Rewards accruing after the effective date of the change, provided that Rewards that have already accrued under prior terms will not be retroactively adjusted unless Vyro otherwise determines you are not eligible for such Rewards.

If Vyro terminates the Program at any time with or without notice to you, Rewards that have already accrued and cleared Vyro’s internal review will be paid out in the ordinary course. However, any active twelve (12) month referral windows that have not yet expired may be ended as of the Program termination date, at Vyro's sole discretion, meaning no further Rewards will accrue for those referrals after the Program ends, even if the twelve (12) month period or $500 USD cap has not yet been reached.

1. Rewards.

1. For each Qualifying Referral, you will earn a referral reward equal to twenty percent (20%) of the gross earnings generated by the Referred Creator through the Vyro platform (e.g., if a Referred Creator earns $10 from a campaign, you receive a $2 Reward) (the “Reward”), subject to the cap and duration limits set forth below. Rewards are funded solely from Vyro’s share of platform revenue and do not reduce the Referred Creator’s earnings.
2. Rewards for each Qualifying Referral are subject to two limits, and the referral period ends (and your ability to earn Rewards from a Qualifying Referral) when the first of the following occurs: (a) total Rewards for that Referred Creator reach $500 USD; or (b) twelve (12) months have elapsed from the Referred Creator's sign-up date. Once either limit is reached (whichever comes first) no further Rewards accrue for that Qualifying Referral, regardless of the Referred Creator's continued activity on the platform.
3. Rewards accrue as a pending balance in your Vyro Wallet. Pending Rewards are reviewed monthly for fraud and abuse (among other parameters) and are released upon Vyro approval. Once released, Rewards may be withdrawn through the standard Vyro Wallet cash-out process.
4. Rewards are non-transferable and may not be assigned, sold, or exchanged. Rewards may only be redeemed through your own Vyro Wallet.
5. Only one Reward is available per Referred Creator. If two or more referrers refer the same Referred Creator, Vyro's tracking system will determine which referrer receives credit, and that determination is final and not subject to any review or dispute process.
6. All Reward redemptions are final and will not be reversed or returned. You agree that Rewards are subject to review and verification at all times, including after release to your Vyro Wallet. Vyro reserves the right to substitute any Reward with an alternative of comparable value if Vyro is unable to fulfill the original Reward for any reason.

1. Payouts and Withholding.

1. Vyro reserves the right to withhold, deny, delay, or void any Reward at its sole discretion, and this right is not limited to cases of confirmed fraud.
2. If Vyro suspends or terminates your account for any reason, all unpaid Rewards are immediately forfeited. Vyro further reserves the right to reclaim (claw back) any Rewards previously paid if Vyro later determines, in its sole discretion, that such Rewards were associated with activity that violated these Referral Terms or the Platform Terms.
3. All enforcement decisions related to the Program are final. Vyro is under no obligation to provide an explanation for any decision to withhold, void, or reclaim Rewards.

1. Prohibited Conduct. The following conduct is strictly prohibited and may result in immediate disqualification from the Program and/or the Vyro platform, forfeiture of all unpaid Rewards (whether or not related to the violation), and suspension or termination of your account:

1. Self-Referrals and Duplicate Accounts. You may not refer yourself, or create or control multiple accounts for the purpose of generating Rewards.
2. Shared Identifiers. Referrals that share a payment method, device, or IP address with the referrer may be deemed invalid at Vyro’s sole discretion.
3. Paid Search and Brand Misuse. You may not run paid search ads or any form of paid advertising on Vyro brand terms (including “Vyro,” “Beast,” or related trademarks). You may not register usernames, domain names, or social media handles that imply an official Vyro or MrBeast affiliation.
   1. For clarity, organic promotion of your referral link through your own social media channels and content is not prohibited under these Referral Terms, but may be subject to further review by Vyro at any time.
4. Link injection and Unsolicited Placement. You may not distribute your referral link through unsolicited messages, automated systems, link injection, or any other method that places your link where it was not requested or expected.
5. Fraudulent or Misleading Activity. You may not engage in any activity that is deceptive, manipulative, or otherwise inconsistent with the spirit of the Program.
6. Additional Violations. For clarity, your participation in the Program is void if any referral, account, or transaction is not completed through legitimate channels, is in violation of these Referral Terms or the Platform Terms, or is irregular or otherwise improper in any way, as determined by Vyro in its sole discretion. Vyro reserves the right to verify your compliance with these Referral Terms at any time. If you or any Referred Creator provide false information during registration or verification, circumvent or attempt to circumvent any verification step, or use automated means or another person’s account to register or participate, you will be disqualified as determined by Vyro in its discretion.
   1. Further, Vyro reserves the right to cancel or modify the Program if bugs, viruses, fraud, technical failures, or any other factor, including, but not limited to, technical difficulties affecting Rewards and third-party claims related to participation, impairs the integrity, administration, or proper facilitation of the Program, as determined by Vyro in its sole discretion. Should any portion of the Program be, in Vyro’s sole opinion, compromised by non-authorized human intervention or other causes including but not limited to war, strikes, health crisis, epidemic, pandemic, civil disturbances, work stoppage, and/or acts of God, which, in the sole opinion of Vyro, corrupt or impair the administration, security, fairness, or proper referrals, Vyro reserves the right at its sole discretion to suspend, modify, or terminate the Program.

1. Disclaimer. Vyro is not responsible or liable for any Rewards, referrals, or Program-related communications or correspondence that are lost, stolen, delayed, misdirected, incomplete, interrupted, or irregular in any way, whether due to system errors, wallet disruptions, network outages, or other circumstances beyond Vyro’s reasonable control. Vyro is also not responsible if any participant’s or Creator’s email address, Valid Account, or other contact information does not work, is deleted, or is changed without prior written notice to Vyro. Vyro may use commercially reasonable efforts to attempt to resolve technical issues within its control, but assumes no liability for delayed or failed payouts.
2. Tax Responsibility. You are solely responsible for any taxes, duties, bank or payment-processing charges, or other governmental assessments arising from Rewards earned through the Program. Vyro does not provide tax or financial advice and will not withhold taxes on your behalf unless required by applicable law.
3. Disputes. Any disputes arising under or in connection with the Program will be governed by and resolved in accordance with the dispute resolution provisions set forth in the Vyro Terms of Service, including the governing law, binding arbitration and class-action waiver provisions contained therein.
4. Severability. If any provision of these Referral Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid, illegal, or unenforceable provision will be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the parties.
